2. Acceptance & Eligibility

  • By creating an account or using the Services, you agree to be bound by these Terms and our Privacy Policy.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you use the Services on behalf of an organization, you confirm you have authority to bind that organization.
  • If you do not agree to these Terms, you must not use the Services.

3. Description of Services

Slyker Tech provides, among other things:

  • Custom software, web and mobile application development
  • Hosting, domain registration, and DNS management
  • CodeMax — an AI-assisted website & application builder
  • IT consultancy, systems integration, automation, and digital marketing services
  • Payment gateway integration and billing/support tooling

4. Your Account

  • Accurate Information: you agree to provide truthful, current registration and billing details
  • Security: you are responsible for keeping your login credentials and API tokens confidential, and for all activity under your account
  • Notification: you must notify us promptly at our support channel if you suspect unauthorized account access

5. CodeMax — AI-Generated Sites & Code

  • Output ownership: subject to payment of applicable fees, you own the website content, design and code generated for your CodeMax projects (AI Output). Slyker Tech retains ownership of the underlying platform, AI models, reusable components, and templates.
  • Usage credits & billing: AI generations, refinements, and certain features are metered against plan limits or credit packs as described on your billing page. Unused credits do not carry an automatic cash-refund right unless required by law.
  • No warranty on AI output: AI Output is provided "as is." We do not guarantee that generated output is free of bugs, security vulnerabilities, or third-party rights infringement. You are responsible for reviewing, testing, and securing any code or content before relying on it commercially.
  • Acceptable generation use: you may not use CodeMax to generate content that is unlawful, infringing, defamatory, malicious (e.g. malware, phishing pages), or that violates a third party's intellectual property or privacy rights. We may suspend projects that violate this clause.
  • Publishing & domains: when you publish a CodeMax site to a custom domain, you are responsible for ensuring your use of that domain and its content complies with applicable law.

6. Cookies, Analytics & Marketing

To operate and improve the Services, we may use:

  • Essential cookies required for login, security, and core functionality (always active)
  • Analytics tools (e.g. Google Analytics) to understand usage patterns — loaded only after you consent via our cookie banner, where consent is legally required
  • Service and marketing notices within our interfaces, which you can opt out of in your account notification settings, where applicable

Note: non-essential cookies and tracking only run with your consent. See our Cookie Policy for full details and how to withdraw consent.

7. Payment, Billing & Refunds

  • Transparent Pricing: all fees are disclosed before purchase; no hidden charges
  • Payment processing: payments are processed through PayPal and/or our billing system (WHMCS); we do not store full payment card numbers
  • Subscriptions: recurring plans renew automatically until cancelled; you may cancel with at least 30 days' notice unless a shorter period is stated at purchase
  • Refunds: fees are generally non-refundable once a service has been delivered or AI credits consumed, except where required by applicable consumer protection law or expressly stated in a service-specific agreement
  • Late payment: we may suspend Services for overdue invoices after reasonable notice

8. Intellectual Property & Infringement Claims

  • Our IP: Slyker Tech owns all rights in the platform, software, branding, and underlying technology, excluding content you own under Section 5
  • Your Content: you retain ownership of materials, data, and content you upload or generate, and grant us a limited license to host, process, and display it solely to provide the Services
  • Feedback: any feedback or suggestions you provide may be used by us without obligation to compensate you
  • Infringement notices / takedown requests: if you believe Content hosted through our Services infringes your intellectual property rights, send a written notice to our support channel identifying: (i) the right holder and the work claimed to be infringed; (ii) the specific URL or project where the infringing material is located; (iii) your contact details; and (iv) a statement that the use is unauthorized and that the notice is accurate, made in good faith. We will investigate and may remove or disable access to the material and notify the affected user.
  • Counter-notice: an affected user who believes content was removed in error may submit a counter-notice with equivalent detail; we will assess both submissions and, where unresolved, may require the parties to pursue the matter directly or through the dispute resolution process in Section 17.

9. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Infringe intellectual property, privacy, or other rights of any person
  • Distribute malware, conduct phishing, or attempt unauthorized access to our systems or those of other users
  • Interfere with or disrupt the integrity or performance of the Services (e.g. denial-of-service attacks, scraping at scale, rate-limit evasion)
  • Resell or sublicense the Services without our prior written consent

10. Third-Party Services

The Services integrate with third-party providers including PayPal (payments), WHMCS (billing & hosting management), Google Analytics (analytics), and the WhatsApp Business API operated by Meta Platforms, Inc. (messaging/support). Your use of these integrations is also subject to the respective third party's terms. We are not responsible for the acts or omissions of independent third-party providers.

11. Service Availability & Modifications

  • We aim to keep the Services available at all times but do not guarantee uninterrupted access. Scheduled maintenance, emergency fixes, or factors outside our control may cause downtime.
  • Unless a specific Order Form states an uptime commitment or service level agreement, the Services are provided without any uptime guarantee, and Section 13 (Warranty Disclaimer) applies.
  • We may modify, suspend, or discontinue any feature of the Services (including CodeMax features or credit allowances) at our discretion. Where a modification materially reduces a paid feature you rely on, we will give reasonable advance notice and, where appropriate, a pro-rata remedy.

12. Export Control & Sanctions Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive trade sanctions, and that you are not listed on any applicable denied-party, debarment, or sanctions list. You agree not to use the Services to export, re-export, or transfer software, technology, or Content in violation of any applicable export control or sanctions law. We may suspend or terminate access where we reasonably believe this representation has been breached.

13. Warranty Disclaimer

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

14. Limitation of Liability

To the maximum extent permitted by law, Slyker Tech and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from or related to your use of the Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid us for the Services giving rise to the claim in the 12 months preceding the event. Nothing in these Terms limits liability that cannot be limited under applicable law (e.g. liability for fraud or gross negligence), and nothing in this Section overrides the non-waivable consumer protections described in Section 18.

15. Indemnification

You agree to indemnify and hold Slyker Tech harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your content, or your violation of any law or third-party right.

16. Termination & Survival

  • You may close your account at any time; certain billing obligations already incurred will survive closure
  • We may suspend or terminate your access if you materially breach these Terms, fail to pay overdue fees after notice, or where required by law
  • Upon termination, your right to use the Services ceases; we may delete associated data per our retention schedule described in the Privacy Policy
  • Survival: Sections 1 (Definitions), 5 (CodeMax ownership/no-warranty provisions), 8 (IP & Infringement Claims), 13 (Warranty Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), this survival clause, and Section 17 (Governing Law & Dispute Resolution) survive termination of these Terms or closure of your account.

17. Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including power or internet outages, natural disasters, acts of government, or third-party service provider failures.

18. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Zimbabwe, without regard to conflict-of-law principles.
  • Arbitration first: any dispute arising out of or relating to these Terms or the Services shall first be referred to good-faith negotiation, and if unresolved within 30 days, to binding arbitration in Harare, Zimbabwe, administered under the Arbitration Act [Chapter 7:15] and conducted in English.
  • Either party may seek interim injunctive relief from the courts of Harare, Zimbabwe, to prevent irreparable harm (e.g. IP infringement) pending arbitration.
  • Consumer rights carve-out: if you are acting as a consumer under the Zimbabwe Consumer Protection Act [Chapter 14:44], or any equivalent mandatory consumer-protection law of your jurisdiction, nothing in this Section or in these Terms (including the arbitration agreement and the liability cap in Section 14) limits, waives, or overrides any right or remedy that law grants you and that cannot lawfully be waived by agreement. To the extent of any conflict between this Section and such mandatory law, the mandatory law prevails solely to the extent of the conflict, and the remainder of these Terms continues to apply.

19. Changes to These Terms

We may update these Terms to reflect:

  • New service features (e.g. CodeMax functionality)
  • Legal or regulatory requirements
  • Industry best practices

Material changes will be communicated via email or in-app notice at least 30 days in advance. Continued use of the Services after changes take effect constitutes acceptance.

20. Relationship of the Parties & Notices

  • Independent contractors: nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Slyker Tech. Neither party has authority to bind the other.
  • Notices to you: we may give notice via the email address or in-app notification associated with your account; such notice is deemed received 24 hours after sending.
  • Notices to us: formal legal notices to Slyker Tech must be sent in writing to our registered office at 2789 Dada Cresent, Budiriro 2, Harare, Zimbabwe, or via our support channel.

21. General

  • Severability: if any provision is found unenforceable, the remaining provisions remain in full effect
  • Entire Agreement: these Terms, together with the Privacy Policy and any signed service agreement or Order Form, constitute the entire agreement between you and Slyker Tech
  • Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets
  • No Waiver: our failure to enforce a provision is not a waiver of our right to do so later
